Viribright® Terms of Service

These Terms of Service (“Terms”) govern your use of Shop.Viribright.com (the “Site”) and purchases made through the Site.

The Site is operated by Viribright Lighting Inc., a subsidiary of Matrix Holdings Limited, under the Viribright® brand.

By accessing the Site, creating an account, placing an order, or otherwise using our services, you agree to these Terms and any policies referenced within them. If you do not agree to these Terms, please do not use the Site.

Throughout these Terms, “Viribright®,” “Viribright,” “we,” “us,” and “our” refer to Viribright Lighting Inc., as applicable in context.

1. Online Store Terms

By using this Site, you represent that you are legally capable of entering into a binding agreement or are using the Site with the authorization of a parent or legal guardian where required.

You may not use our products or services for any unlawful or unauthorized purpose or use the Site in violation of applicable laws.

You may not transmit viruses, malicious code, or other material intended to interfere with the operation or security of the Site.

We reserve the right to refuse or restrict service where reasonably necessary to protect Viribright®, our customers, our systems, or our legal rights.

2. Products & Product Information

Viribright® makes reasonable efforts to provide accurate product descriptions, specifications, images, dimensions, color temperatures, lumen outputs, wattages, certifications, compatibility information, packaging information, and other product details.

Product information may be updated or changed from time to time without notice.

Product photographs and digital representations are provided for reference. Actual products, packaging, colors, or other characteristics may vary slightly due to product updates, manufacturing revisions, photography, lighting, or display settings.

Customers are responsible for reviewing product specifications and compatibility before purchase.

Where a particular specification is critical to an application, please consult the applicable product documentation or contact Viribright® before ordering.

3. Product Availability

All products are subject to availability.

We reserve the right to limit quantities, discontinue products, modify our assortment, introduce replacement products, or restrict sales where reasonably necessary.

Products identified as Backordered, Special Order, Outlet, Clearance, Discontinued, or Final Sale may be subject to additional conditions disclosed on the applicable product or collection page.

4. Backordered & Special-Order Products

Products identified as backordered or special order at the time of purchase are not subject to our standard in-stock processing timeframe.

These products will generally ship when inventory is replenished or the merchandise otherwise becomes available.

Estimated availability or replenishment dates, if provided, are estimates and are not guaranteed.

Orders containing both in-stock and backordered or special-order products may be fulfilled in separate shipments.

5. Prices

Prices displayed on the Site are stated in U.S. dollars unless otherwise indicated and are subject to change without notice.

A price change does not affect an order that has already been accepted by Viribright®, except where permitted by law in connection with an obvious pricing, technical, or other material error.

Prices generally exclude applicable taxes and shipping charges unless expressly stated otherwise.

6. Errors & Inaccuracies

We make reasonable efforts to maintain accurate pricing, product, promotional, inventory, and other information.

Occasionally, information on the Site may contain typographical errors, inaccuracies, omissions, or technical errors.

To the extent permitted by law, Viribright® reserves the right to correct such errors and to cancel or refuse an order materially affected by an obvious pricing, product, promotional, availability, or technical error.

If payment has already been collected for an order that we cancel because of such an error, the applicable amount will be refunded.

7. Orders & Acceptance

Submitting an order through the Site constitutes an offer to purchase the products included in your order.

Receipt of an order confirmation does not necessarily constitute final acceptance of the order.

We reserve the right to accept, decline, limit, or cancel an order where reasonably necessary, including in cases involving:

• Product unavailability;
• Incorrect pricing or product information;
• Suspected fraud or unauthorized payment activity;
• Unusually large or abnormal order quantities;
• Shipping or delivery limitations;
• Resale or other activity inconsistent with the intended operation of the consumer Site; or
• Other circumstances that reasonably prevent fulfillment.

If we cancel an order after payment has been collected, we will refund the applicable canceled amount.

8. Billing & Account Information

You agree to provide current, complete, and accurate billing, shipping, contact, and payment information for purchases made through the Site.

You are responsible for promptly updating information necessary to complete your transaction or communicate regarding your order.

You represent that you are authorized to use the payment method submitted with your order.

Viribright® may use third-party payment processors to process transactions. Payment information may therefore also be subject to the terms and privacy practices of the applicable payment provider.

9. Taxes

Applicable sales, use, or other transaction taxes will be calculated and collected where required by law.

Tax-exempt customers or business purchasers requiring specialized purchasing arrangements should contact Viribright® before ordering when appropriate.

10. Promotions, Discounts & Promotional Codes

Promotions, discount codes, coupons, free-shipping offers, introductory offers, and other incentives may be subject to additional terms.

Unless otherwise expressly stated:

• Promotional offers have no cash value;
• Discounts cannot be applied retroactively to completed purchases;
• Multiple promotions may not be combined;
• Certain products or collections may be excluded;
• Minimum-purchase requirements may apply; and
• Viribright® may modify or discontinue a promotion where permitted by law.

In the event of a conflict, the specific terms presented with the promotion will control.

11. Free Shipping

Viribright® currently offers free economy shipping on eligible orders of $39.99 or more within the contiguous United States, subject to the terms of our Shipping & Order Policy.

The applicable merchandise subtotal after discounts and before taxes and shipping charges is used to determine eligibility unless otherwise stated.

Certain oversized, heavy, special, or non-standard shipments may be excluded.

Free-shipping offers and thresholds may be changed or discontinued in accordance with applicable law.

12. Shipping & Delivery

Most in-stock orders generally ship within 2 business days.

Economy delivery typically takes approximately 5–8 business days after shipment, depending on destination and carrier.

Processing and delivery times are estimates and are not guaranteed.

Backordered and special-order merchandise will ship based on availability as described on the Site and in our Shipping & Order Policy.

Once merchandise has been transferred to the applicable carrier, delivery may be affected by weather, carrier operations, holidays, service interruptions, or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address.

13. Risk of Loss & Delivery

Risk associated with delivery will be handled in accordance with applicable law and the shipping terms applicable to the order.

Certain higher-value orders may require a signature upon delivery.

Customers requesting waiver of a signature requirement may be required to accept responsibility for the shipment after carrier-confirmed delivery, as further described in our Shipping & Order Policy.

14. Order Changes & Cancellations

We begin processing orders promptly.

If you need to modify or cancel an order, contact Viribright® as soon as possible after placing it.

We will make reasonable efforts to accommodate your request, but changes and cancellations cannot be guaranteed once processing has begun.

Orders that have already shipped cannot be canceled and must instead be handled in accordance with our Returns & Refund Policy, if eligible.

15. Returns & Refunds

Eligible products purchased directly through Shop.Viribright.com may be returned in accordance with our Returns & Refund Policy.

Standard eligible returns must be requested within 30 days of the purchase date.

Unless otherwise stated or required by law:

• Customers are responsible for return shipping costs;
• Standard customer-initiated returns are subject to a 5% restocking fee;
• Original shipping charges are non-refundable;
• Returned products must meet applicable condition and packaging requirements; and
• Prior return authorization may be required.

16. Viribright® Outlet — Final Sale

Products purchased from the Viribright® Outlet collection are FINAL SALE and are not eligible for standard return, exchange, or refund.

Outlet merchandise may include discontinued, phased-out, overstock, clearance, or other specially priced products.

Final Sale status does not limit any rights that cannot legally be excluded or any otherwise applicable written Viribright® product warranty.

17. Damaged, Incorrect or Defective Products

If an order arrives damaged, contains an incorrect product, or is missing merchandise, customers should contact Viribright® promptly and retain the product, packaging, shipping carton, and applicable labels while the matter is reviewed.

Products believed to be defective may be covered by an applicable Viribright® Limited Product Warranty.

A warranty claim is separate from a standard return and is governed by the written warranty applicable to the product.

18. Product Warranties

Certain Viribright® products include limited warranties.

The duration, coverage, exclusions, claim requirements, remedies, and other conditions of a product warranty are governed by the written warranty applicable to that product.

Nothing in these Terms creates an additional product warranty beyond any express written warranty or warranty required by applicable law.

19. Installation & Product Use

Lighting products must be selected, installed, operated, and maintained in accordance with their applicable specifications and instructions and with applicable electrical, building, safety, and other requirements.

Customers are responsible for determining whether a product is appropriate and compatible with their intended application.

Where required or appropriate, products should be installed by a qualified professional.

Viribright® is not responsible for damage resulting from misuse, improper installation, unauthorized modification, use outside product specifications, incompatible equipment, or other conditions excluded by the applicable product warranty, except where liability cannot legally be excluded.

20. Resale & Commercial Purchasing

Shop.Viribright.com is primarily intended as a consumer shopping destination.

Retailers, distributors, contractors, commercial customers, and other professional purchasers may be subject to separate pricing, credit, purchasing, shipping, warranty, or account terms.

Purchasing products through the Site does not automatically create an authorized retailer, distributor, dealer, reseller, agent, or other business relationship with Viribright Lighting Inc.

For commercial purchasing or partnership inquiries, customers may be directed to Viribright®'s professional or corporate channels.

21. Third-Party Services

The Site may use or provide access to services operated by third parties, including payment providers, shipping carriers, ecommerce technology providers, analytics providers, and other service providers.

Viribright® does not control the independent operation of third-party services.

Use of those services may be subject to separate terms and privacy practices imposed by the applicable provider.

22. Third-Party Links

The Site may contain links to third-party websites or services for convenience or informational purposes.

Viribright Lighting Inc. does not control those third-party websites and is not responsible for their content, availability, security, products, services, privacy practices, or terms.

Access to third-party websites is at the user's discretion.

23. Intellectual Property

The Viribright® name, logos, trademarks, product imagery, Site content, graphics, photographs, product descriptions, marketing materials, designs, and other proprietary materials are owned by, licensed to, or used with authorization by Viribright Lighting Inc., Matrix Holdings Limited, or their applicable affiliates or licensors.

Use of the Site does not grant users ownership of or authorization to commercially use Viribright® intellectual property.

24. User Content, Reviews & Submissions

If you submit a product review, photograph, comment, feedback, suggestion, or other content through the Site, you represent that you have the right to provide that content and that it does not violate applicable law or the rights of another person.

To the extent permitted by law, you grant Viribright Lighting Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute content voluntarily submitted for publication or promotional use in connection with Viribright® and its products.

We may decline or remove submitted content that is unlawful, fraudulent, abusive, misleading, infringing, unrelated, or otherwise inappropriate for the Site.

25. Prohibited Uses

You may not use the Site to:

• Violate applicable law;
• Engage in fraudulent or deceptive activity;
• Submit false purchasing or account information;
• Interfere with Site security or operation;
• Introduce malicious software or code;
• Attempt unauthorized access to accounts, systems, or networks;
• Impersonate Viribright® or another person;
• Scrape or systematically extract Site content for unauthorized commercial use;
• Infringe intellectual property or other rights; or
• Use the Site in a manner that materially interferes with another person's use of the Site.

26. Disclaimer of Website Services

To the fullest extent permitted by applicable law, the Site and its general informational services are provided on an “as is” and “as available” basis.

We do not guarantee that the Site will always operate without interruption, delay, technical errors, or other issues.

Nothing in these Terms excludes or limits consumer rights, statutory warranties, or other protections that cannot legally be excluded.

27. Limitation of Liability

To the fullest extent permitted by applicable law, Viribright Lighting Inc., Matrix Holdings Limited, and their applicable affiliates, directors, officers, employees, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of or inability to use the Site.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Rights and remedies relating to individual products may also be governed by the applicable product warranty and applicable law.

28. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Viribright Lighting Inc. and its applicable affiliates from claims, losses, liabilities, or reasonable expenses arising from your unlawful misuse of the Site, violation of these Terms, or infringement of another party's rights.

This provision does not apply to the extent prohibited by applicable consumer law.

29. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

By using the Site, you acknowledge that information may be collected and processed as described in that policy.

30. Changes to These Terms

Viribright Lighting Inc. may update these Terms from time to time to reflect changes to our Site, services, policies, or applicable requirements.

The current version will be posted on the Site with its applicable “Last Updated” date.

Changes will apply prospectively to the extent required by applicable law.

31. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

32. No Waiver

Failure by Viribright Lighting Inc. to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.

33. Governing Law

To the extent permitted by applicable law, these Terms and transactions conducted through the Site are governed by the laws of the State of California, without regard to conflict-of-law principles.

Nothing in this provision limits consumer protections or rights that cannot lawfully be waived.

34. Entire Agreement

These Terms, together with the policies and terms expressly incorporated by reference, constitute the agreement governing use of Shop.Viribright.com and purchases made directly through the Site.

Specific terms displayed in connection with a product, promotion, warranty, or transaction may supplement these Terms.
